FLASHOP GLOBAL TERMS OF SERVICE

1. Introduction
Welcome to FLASHOP (“the Platform”), operated by NEW BANG INTERNATIONAL CO., LTD. (“the Company”, “we”, “our”, or “us”).
These Terms govern your (“you”, “User”) access to and use of all FLASHOP websites, applications, and related services (collectively, “Services”).
By clicking “I Agree” or by using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our policies, and any referenced appendices.
2. Scope of Application
These Terms apply to all FLASHOP features, including but not limited to: product sourcing, resale, listing and marketing tools, payment settlement, membership programs, loyalty rewards, and related technical support.
Third-party providers (e.g., logistics, payment gateways, cloud storage) may have additional terms that apply to their respective services.
If you are a minor, your legal guardian must review and consent to these Terms before use.
3. Registration and Account Management
Users must register with accurate, current, and complete information and keep such information updated.
You are responsible for safeguarding login credentials, API keys, and access tokens.
Any losses resulting from inadequate protection of your credentials are your responsibility.
If you suspect unauthorized access, notify us immediately; we may suspend or terminate the account pending investigation.
4. Services Provided
(a) Resale and Listing – You may select products from FLASHOP, list them on your own storefront or share sales links, and set prices and content independently.
(b) Orders and Fulfilment – Once an order is placed, the system notifies the supplier for shipment. Title and risk pass upon dispatch to you or the end customer.
(c) After-sales Support – You shall handle returns or exchanges under FLASHOP’s after-sales policy. We may intervene when quality or shipping disputes arise.
(d) Fees and Settlement – All fees, commissions, and payout cycles follow platform announcements. Monetary amounts are denominated in USD unless otherwise specified.
5. Intellectual Property and Content License
All materials provided by FLASHOP including images, videos, product descriptions, trademarks, and marketing assets are owned or licensed by the Company.
You may use such materials solely for FLASHOP-related marketing and may not modify, sublicense, or redistribute them on other platforms without written authorization.
By uploading your own content, you grant FLASHOP a non-exclusive, worldwide, royalty-free license to use, display, and promote such content within the Platform.
6. Membership and Reward Program
FLASHOP may operate multi-tier membership and referral programs offering discounts or loyalty incentives (“Membership Rewards”).
These programs are promotional in nature and do not constitute investment or income guarantees.
Details—including tier criteria and reward rates are provided in Appendix A (Membership Policy) and updated periodically.
We reserve the right to modify, rename, suspend, or discontinue the program with notice by public announcement.
7. Digital Assets and Loyalty Points
eCoin and ShipMile are internal, non-monetary loyalty credits usable only for in-platform purchases, discounts, or promotional rewards. They carry no external transferability or cash value.
ZUGU Token (if applicable) is a utility token used within the FLASHOP ecosystem for experimental reward purposes and does not represent equity, debt, or guaranteed income.
Specific usage and redemption terms appear in Appendix B (Digital Asset Policy).
FLASHOP makes no representation regarding liquidity or market value of any digital asset; users bear all related risks.
8. Privacy and Data Protection
The data controller for FLASHOP is NEW BANG INTERNATIONAL CO., LTD.
We collect, process, and store personal information in accordance with Appendix C (Privacy & Data Protection Policy).
Data may be hosted in Hong Kong, Taiwan, Singapore, or other announced jurisdictions and shared only with authorized partners (payments, logistics, cloud).
All payments are processed through PCI-DSS-certified third-party gateways (e.g., Stripe, PayPal). FLASHOP never stores full card numbers, CVV, or security codes.
9. Limitation of Liability
The Services are provided “as is” and “as available.”
We do not warrant uninterrupted or error-free operation, nor that results will meet user expectations.
We are not liable for any loss arising from third-party interruptions, internet failures, server errors, force majeure, or governmental actions.
10. Anti-Bribery and Fair Dealing
Users shall not offer money, gifts, or favors to FLASHOP employees or partners.
Verified violations authorize immediate termination and a liquidated-damage claim of USD 5,000 or the full amount of the improper benefit (whichever is greater).
11. Breach and Termination
FLASHOP may warn, suspend, or terminate any account breaching these Terms and withhold amounts necessary to offset damages.
Either party may terminate upon fifteen (15) days’ written notice.
Upon termination, you must remove all FLASHOP-related products and materials within ten (10) business days.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region.
Disputes shall first be resolved amicably; failing settlement, they shall be submitted to Hong Kong International Arbitration Centre (HKIAC) under its rules, in English.
EU users may alternatively access the EU ODR platform per Appendix H.
13. Miscellaneous
If any provision is held invalid, the remaining provisions remain effective.
FLASHOP may assign or transfer its rights and obligations to affiliates.

APPENDICES
Appendix A – Membership Policy
(retains your current content, rewritten for clarity)
Defines membership tiers (Explorer, Creator, Partner etc.), benefits, referral rewards, and conditions.
All rewards are paid in eCoin / ShipMile and are non-transferable, non-redeemable for cash.
Participation is voluntary and purely promotional; no employment or investment relationship is created.
Appendix B – Digital Asset Policy
Explains the nature of eCoin, ShipMile, and ZUGU Token, emphasizing:

no monetary value or legal tender status;

subject to change or suspension for legal or operational reasons;

Appendix C – Privacy & Data Protection Policy

All cross-border transfers use Standard Contractual Clauses or equivalent safeguards.
Appendix D – Global eCoin & Gift Card Policy
